Terms of Service for STAYTIQ
These Terms of Service ("Agreement") constitute a legally binding contract between STAYTIQ LLC, a Delaware limited liability company with its principal place of business in Tracy, California ("STAYTIQ," "we," "us," or "our"), and each person or entity that accesses or uses the STAYTIQ platform. Agreement and Parties
By accessing the STAYTIQ platform — whether by scanning a QR code, creating an account, connecting a property, enrolling as a vendor, or otherwise using any STAYTIQ service — you agree to be bound by this Agreement in its entirety. If you do not agree to these terms, you must immediately discontinue use of the platform. This Agreement applies to three distinct categories of Users:
Platform Description
STAYTIQ is a QR-powered hospitality technology platform that enables guests at hotels, short-term rentals, and other connected properties to verify their stay, access a seamless check-in experience, and discover, book, and pay for in-room food delivery, transportation, local experiences, and property amenities — all without downloading an app. The platform operates as a technology intermediary and marketplace, connecting property guests with the services and experiences they need from arrival through checkout. STAYTIQ expressly operates as a technology platform and marketplace intermediary. STAYTIQ does not: • Take title to or ownership of any goods or services transacted through the platform. • Employ or engage vendor personnel as employees or agents of STAYTIQ. • Guarantee the quality, safety, legality, or availability of any goods or services offered by vendors. • Act as a food delivery service, transportation provider, or experience operator in its own capacity. All transactions facilitated through the platform are between guests and vendors, with STAYTIQ providing the technology infrastructure, payment processing connection, and administrative coordination on behalf of participating parties.
Property Partner Terms
3.1 Subscription and Onboarding Property Partners must agree to these Terms of Service and complete STAYTIQ's onboarding process before the integration can be activated. Properties may connect to the STAYTIQ platform through any supported property management system ("PMS") integration, third-party marketplace, or direct connection method made available by STAYTIQ from time to time. Regardless of the connection method used, acceptance of these Terms of Service — whether through a supported PMS marketplace, a direct onboarding flow, or any other mechanism — constitutes the binding agreement between STAYTIQ and the Property Partner. No separate subscription agreement is required for standard connections. A list of currently supported PMS integrations is available at staytiq.com. Upon completing onboarding, STAYTIQ will: • Configure the property's integration credentials in the STAYTIQ platform admin dashboard. • Create a branded property portal including services, products, and QR code generation. • Provide physical or digital QR codes for placement in guest rooms and property common areas. • Activate the live integration within three to five (3–5) business days of credential receipt. 3.2 Subscription Fees and Billing Property Partners are billed on a subscription basis as specified in the applicable pricing plan selected at onboarding. Pricing structures may include per-room monthly fees, flat monthly fees, or portfolio-based pricing as agreed upon between STAYTIQ and the Property Partner. All fees are: • Due and payable at the time of billing cycle renewal. • Non-refundable except as expressly provided in this Agreement or required by applicable law. • Subject to adjustment upon thirty (30) days' written notice from STAYTIQ. 3.3 Platform Commission STAYTIQ charges a platform commission of ten percent (10%) on the gross transaction value of all guest orders fulfilled through the platform at any Connected Property. This commission is automatically deducted prior to vendor settlement and is reflected in transaction reporting available in the Partner's admin dashboard. STAYTIQ reserves the right to offer differentiated commission structures for specific property types, portfolio arrangements, or promotional periods, as agreed upon in writing between STAYTIQ and the applicable Partner. 3.4 Partner Responsibilities All Partners are responsible for: • Displaying QR codes prominently in guest rooms, lobbies, and applicable common areas as directed by STAYTIQ. • Maintaining accurate property data, including room or unit inventory, amenities, and service availability, within the STAYTIQ admin panel. • Ensuring that their use of the STAYTIQ platform complies with all applicable local, state, and federal laws and regulations. • Notifying STAYTIQ in writing within five (5) business days of any material change in ownership, management, licensing status, or property operational status. • Maintaining the security and confidentiality of their integration credentials and promptly reporting any unauthorized access or suspected breach to STAYTIQ. 3.5 Property Partner Representations and Warranties Each Property Partner represents and warrants that: • It holds all required licenses, permits, and regulatory approvals necessary to operate a hospitality or short-term rental business in its jurisdiction. • Its use of the STAYTIQ platform does not and will not violate any applicable law, regulation, or third-party agreement. • It has the authority to enter into this Agreement and to bind its organization to its terms. • It will not use the platform for any unlawful purpose or in a manner that could expose STAYTIQ or guests to liability.
Guest Terms
4.1 Eligibility and Account Access The STAYTIQ platform is available to guests who are eighteen (18) years of age or older and hold an active, confirmed reservation or booking at a STAYTIQ-connected property. Guest authentication is performed by verifying reservation or booking details against the property's PMS or reservation records. You may be required to provide your last name, confirmation number, check-in date, or room or unit number. For enhanced features, guests may optionally create an account using an email address or Google Sign-In. 4.2 Guest Conduct By accessing and using the STAYTIQ platform, guests agree to use the platform solely for lawful, personal, and non-commercial purposes. Guests must not: • Submit false, misleading, or inaccurate reservation or booking information. • Attempt to access the accounts or reservation data of other guests. • Reverse-engineer, decompile, disassemble, or extract source code from the platform. • Use the platform in any manner that could damage, disable, overburden, or impair STAYTIQ's systems or infrastructure. • Engage in fraudulent, illegal, or abusive conduct in connection with any order or transaction. 4.3 Orders, Payments, and Refunds Payment information is processed securely through Stripe, Inc. STAYTIQ does not store full payment card details on its own servers. Guest refund eligibility is determined by the nature and type of the order placed: • Food and beverage orders: Refunds are available for undelivered or materially incorrect orders as determined by STAYTIQ in its reasonable discretion. • Transportation services: Cancellation and refund policies are governed by the applicable vendor's terms. • Experiences and amenities: Refunds are subject to the vendor's cancellation policy disclosed at the time of booking. All refund requests must be submitted within twenty-four (24) hours of the relevant transaction.
Vendor Terms
5.1 Vendor Enrollment and Obligations Vendors seeking to offer goods or services through the STAYTIQ marketplace must complete STAYTIQ's vendor enrollment process and accept these Terms as a condition of participation. Vendors represent and warrant that they are duly licensed, insured, and authorized to provide the services they offer through the platform. Vendors are solely responsible for: • The quality, accuracy, safety, and legality of the goods and services they provide. • Compliance with all applicable health, safety, labor, and regulatory standards governing their operations. • Timely fulfillment of orders accepted through the STAYTIQ platform. • Maintaining adequate professional liability, general liability, and applicable insurance coverage. • Accurately representing product availability, pricing, and delivery timeframes on the platform. 5.2 Vendor Payments and Settlement Vendors receive payment for fulfilled orders net of STAYTIQ's platform commission and applicable transaction fees. Payouts are processed on a schedule established at enrollment, subject to delays caused by payment processing requirements, chargebacks, or disputes. STAYTIQ reserves the right to withhold settlement pending resolution of any disputed transaction or suspected fraudulent activity. 5.3 Vendor Suspension and Removal STAYTIQ reserves the right to suspend or permanently remove any vendor from the platform, with or without prior notice, in the event of: • Repeated negative guest feedback or unacceptably low service quality ratings. • Violation of any provision of this Agreement or applicable law. • Engagement in fraudulent, deceptive, or abusive conduct. • Failure to maintain required licenses or insurance. • Any other conduct that STAYTIQ determines, in its sole discretion, is harmful to guests, Property Partners, or the STAYTIQ platform.
IP & Data Privacy
6.1 Intellectual Property All intellectual property comprising the STAYTIQ platform — including software, source code, algorithms, user interfaces, design elements, trademarks, logos, service listings, and proprietary methodologies — is and shall remain the exclusive property of STAYTIQ LLC. Nothing in this Agreement grants any User any ownership interest in STAYTIQ's intellectual property beyond the limited right to use the platform in accordance with these Terms. Users must not reproduce, distribute, modify, create derivative works of, publicly display, or reverse-engineer any component of the STAYTIQ platform without prior written authorization from STAYTIQ. 6.2 Data Privacy and Security STAYTIQ collects, processes, and stores personal data in accordance with its Privacy Policy, which is incorporated by reference into this Agreement. STAYTIQ implements industry-standard security measures to protect User data but cannot guarantee absolute security against all potential threats. STAYTIQ does not sell personal data to third parties. Guest reservation or booking data accessed from connected PMS or reservation records is used solely to authenticate guests and facilitate service requests during their active stay.
Disclaimers & Liability
6.3 Disclaimers THE STAYTIQ PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. STAYTIQ EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. As a marketplace intermediary, STAYTIQ is not responsible for: • The quality, safety, fitness, or legality of goods or services provided by vendors. • Any injury, damage, loss, or liability arising from vendor-fulfilled orders. • Service interruptions, delays, or failures caused by third-party systems, networks, or providers. • Any emergency, medical, or personal safety situation arising during a guest's stay at any connected property. 6.4 Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STAYTIQ'S TOTAL CUMULATIVE LIABILITY TO ANY USER ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: • The total fees paid by that User to STAYTIQ in the twelve (12) months preceding the claim; or • One hundred dollars (USD $100.00). IN NO EVENT SHALL STAYTIQ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, EVEN IF STAYTIQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 6.5 Indemnification Each User agrees to indemnify, defend, and hold harmless STAYTIQ LLC and its members, managers, officers, employees, agents, and successors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of the User's use of the platform, violation of this Agreement, violation of applicable law, or content submitted through the platform.
Termination & Disputes
6.6 Term and Termination This Agreement remains in effect for as long as a User maintains access to or use of the STAYTIQ platform. STAYTIQ reserves the right to suspend or terminate any User's access at any time, with or without cause, upon reasonable notice. Users may terminate by ceasing all use of the platform and, where applicable, providing written notice to deo@staytiq.com. Upon termination, all licenses granted under this Agreement immediately cease. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — shall so survive. 6.7 Governing Law and Dispute Resolution This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute that cannot be resolved informally shall be subject to binding arbitration administered by JAMS in San Joaquin County, California, in accordance with its then-current rules. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration. The parties expressly waive any right to a jury trial.
Modifications & Contact
6.8 Modifications to This Agreement STAYTIQ reserves the right to modify this Agreement at any time. Material changes will be communicated to Property Partners and registered Users via email or platform notification at least thirty (30) days prior to the effective date. Continued use of the platform following the effective date of any modification constitutes acceptance of the revised Agreement. 6.9 Severability and Waiver If any provision is found unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. STAYTIQ's failure to enforce any right shall not constitute a waiver. 6.10 Entire Agreement This Agreement, together with STAYTIQ's Privacy Policy and any applicable pricing addendum, constitutes the entire agreement between STAYTIQ and each User and supersedes all prior agreements, representations, and understandings.
